1. Acceptance of Terms

By accessing or using the website singfield.lol (the “Site”), any associated mobile applications, APIs, or services (collectively, the “Services”) operated by Songyuan Yongtian Technology Co., Ltd., a company organized under the laws of the People’s Republic of China (“Sing Field,” “we,” “us,” or “our”), you (“you,” “your,” or “User”) agree to be bound by these Terms of Service (the “Terms”).

If you do not agree to all of these Terms, you must not access or use the Services. Your continued use of the Services after any modification to these Terms constitutes acceptance of the revised Terms. We reserve the right to update, change, or replace any part of these Terms at our sole discretion, and it is your responsibility to check this page periodically for changes.

By using the Services, you represent and warrant that: (a) you are at least the age of majority in your jurisdiction of residence, or you have obtained parental or guardian consent to use the Services; (b) you have the legal capacity to enter into a binding contract; and (c) your use of the Services does not violate any applicable law, regulation, or ordinance.

2. Description of Services

Sing Field provides a platform that enables users to engage with digital content, tools, and community features as made available through the Site. The specific nature, scope, and functionality of the Services may evolve over time, and we reserve the right to modify, suspend, discontinue, or restrict any aspect of the Services at any time without prior notice or liability.

We make no representation that the Services, or any content accessible through them, are appropriate or available for use in all locations. Users who access the Services from outside the People’s Republic of China do so on their own initiative and are responsible for compliance with all applicable local laws, rules, and regulations.

2.1 Account Registration

Certain features of the Services may require you to create an account. When registering, you agree to provide accurate, current, and complete information, and to update that information promptly if it changes. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account by emailing hello@singfield.lol.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion at any time and for any reason, including but not limited to a violation of these Terms.

2.2 Third-Party Services

The Services may integrate with, link to, or rely on third-party products, services, or content. We do not endorse, warrant, or assume responsibility for any third-party content, services, or websites. Any dealings between you and a third party are solely between you and that third party, and we shall have no liability arising from such dealings.

3. User Obligations and Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You further agree not to engage in any of the following prohibited activities:

• Violating any applicable international, national, state, or local law, statute, ordinance, or regulation, including without limitation those of the People’s Republic of China;
• Infringing, misappropriating, or violating the intellectual property, privacy, publicity, or other proprietary rights of any person or entity;
• Uploading, posting, transmitting, or otherwise distributing any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
• Interfering with or disrupting the Services, servers, or networks connected to the Services, including by transmitting viruses, malware, worms, Trojan horses, or any other code of a destructive or disruptive nature;
• Attempting to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means;
• Using any robot, spider, scraper, crawler, or other automated means to access, extract, or index any portion of the Services, except as expressly authorized by us in writing;
• Engaging in any activity that imposes an unreasonable or disproportionately large load on our infrastructure, or that interferes with the proper working of the Services;
• Collecting, harvesting, or storing personal information about other users without their express consent, or otherwise violating the privacy rights of others; and
• Assisting, encouraging, or enabling any third party to engage in any of the foregoing activities.

We reserve the right, without obligation, to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these Terms, including without limitation removing the offending content, suspending or terminating the account of the violator, and reporting the violator to law enforcement authorities.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Services and all content, materials, features, and functionality made available through the Services — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code, software, algorithms, and the selection and arrangement thereof (collectively, the “Sing Field Content”) — are owned by Songyuan Yongtian Technology Co., Ltd., its licensors, or other providers, and are protected by the copyright, trademark, patent, trade secret, and other intellectual property laws of the People’s Republic of China, international treaties, and the laws of other applicable jurisdictions.

The trademarks, service marks, trade names, logos, and product names displayed on or through the Services (collectively, the “Marks”) are registered and unregistered trademarks of Sing Field or their respective owners. Nothing in these Terms, nor any display or use of the Marks, shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark without the prior written permission of the owner.

4.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial purposes. This license does not include any right to: (a) reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Sing Field Content, except as incidentally and automatically occurs through ordinary use of the Services in accordance with these Terms; (b) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services; or (c) use the Services or Sing Field Content for any commercial purpose, or for the benefit of any third party, without our prior written consent.

4.3 User-Generated Content

You retain all rights in and to any content, data, information, text, images, or other materials that you upload, submit, post, or otherwise transmit through the Services (“User Content”). By submitting User Content, you grant to Sing Field a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the User Content in connection with operating and providing the Services and for our reasonable business purposes, subject to our Privacy Policy.

You represent and warrant that: (a) you own or control all rights in and to your User Content and have the right to grant the license above; (b) your User Content is accurate and not misleading or fraudulent; and (c) your User Content, and its use as contemplated by these Terms, does not and will not violate any law or the intellectual property, privacy, publicity, or other rights of any third party.

4.4 Copyright Infringement Claims

If you believe that any content on the Services infringes your copyright, please send a written notice to hello@singfield.lol containing: (a) a physical or electronic signature of the copyright owner or person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and its location on the Services; (d) your contact information including address, telephone number, and email address; (e) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

5. Disclaimer of Warranties; Limitation of Liability

5.1 Disclaimer of Warranties

THE SERVICES AND ALL SING FIELD CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SING FIELD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
• Any warranty that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components;
• Any warranty that the quality of any products, services, content, or information obtained through the Services will meet your expectations or requirements; and
• Any warranty as to the accuracy, completeness, reliability, or currency of any content, data, or information provided through the Services.

You acknowledge that your use of the Services is at your sole risk, and that you will be solely responsible for any damage to your computer system, mobile device, or loss of data that results from your use of the Services or the download or use of any Sing Field Content.

5.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SING FIELD, SONGYUAN YONGTIAN TECHNOLOGY CO., LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, OR OTHER INTANGIBLE LOSSES, WHETHER ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Services;
• Any conduct or content of any third party on the Services, including any defamatory, offensive, or illegal conduct;
• Any content obtained from or through the Services;
• Unauthorized access, use, or alteration of your transmissions, content, or personal data; or
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Services by any third party.

This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, statute, or any other legal theory, and regardless of whether Sing Field has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of certain warranties or the limitation of liability for consequential or incidental damages, the above limitations shall apply to the maximum extent permitted by law.

5.3 Maximum Aggregate Liability

Notwithstanding anything to the contrary in these Terms, the total aggregate liability of Sing Field and its officers, directors, employees, affiliates, licensors, and service providers arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the amount you have paid to Sing Field in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred United States dollars (USD $100.00). The foregoing limitation shall apply to the maximum extent permitted by applicable law.

6. Indemnification

You agree to defend, indemnify, and hold harmless Sing Field, Songyuan Yongtian Technology Co., Ltd., and its respective officers, directors, shareholders, employees, agents, contractors, licensors, successors, and assigns (the “Indemnified Parties”) from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, judgments, awards, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with:

• Your use of, access to, or misuse of the Services;
• Your violation or breach of any provision of these Terms;
• Your violation of any applicable law, regulation, or third-party right, including without limitation any intellectual property, privacy, or publicity right;
• Any User Content you submit, post, transmit, or make available through the Services;
• Your fraud, gross negligence, or willful misconduct; or
• Any claim that your User Content caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses. You shall not settle any claim that affects the Indemnified Parties without our prior written consent.

7. Termination

7.1 Termination by You

You may terminate these Terms at any time by discontinuing all use of the Services and, if you have created an account, by closing your account through the account settings or by contacting us at hello@singfield.lol.

7.2 Termination by Sing Field

We reserve the right, without prior notice and in our sole discretion, to suspend, restrict, or terminate your access to or use of the Services, in whole or in part, for any reason or for no reason, including without limitation if we reasonably believe that: (a) you have violated any provision of these Terms; (b) your conduct may harm Sing Field, other users, or third parties; (c) you have engaged in fraudulent, illegal, or abusive activity; or (d) we are required to do so by law, court order, or governmental authority.

7.3 Effect of Termination

Upon termination of these Terms for any reason: (a) all rights and licenses granted to you under these Terms shall immediately cease; (b) you must immediately cease all use of the Services; (c) any provision of these Terms that by its nature should survive termination shall survive, including without limitation Sections 1 (Acceptance of Terms), 4 (Intellectual Property Rights), 5 (Disclaimer of Warranties; Limitation of Liability), 6 (Indemnification), 8 (Governing Law), 9 (Dispute Resolution), and 10 (Contact Information); and (d) we may, but are not obligated to, delete any or all of your User Content and account data. We shall have no liability to you or any third party for any termination of your access to the Services.

8. Governing Law

These Terms, and any dispute, controversy, claim, or proceeding arising out of or relating to them or the Services (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the People’s Republic of China (the “PRC”), without regard to its conflict-of-law principles or rules.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or to any transaction contemplated hereunder.

If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect. The failure of Sing Field to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

9. Dispute Resolution

9.1 Informal Resolution

We encourage you to contact us directly at hello@singfield.lol to seek an amicable resolution before initiating any formal legal action. Both parties agree to use good-faith efforts to resolve any dispute informally for a period of at least thirty (30) days before either party may commence any formal proceedings.

9.2 Governing Jurisdiction

Any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the competent courts located in Songyuan City, Jilin Province, People’s Republic of China. You and Sing Field each irrevocably consent to the personal jurisdiction and venue of such courts, and waive any objection based on improper venue or forum non conveniens.

9.3 Arbitration

At the election of either party, any dispute arising out of or relating to these Terms or the Services that cannot be resolved through informal negotiation may be submitted to binding arbitration administered by a recognized arbitration institution in the People’s Republic of China, in accordance with its then-effective arbitration rules. The arbitration shall be conducted in the Chinese language in Songyuan City, Jilin Province, PRC, by a single arbitrator mutually agreed upon by the parties. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys’ fees, unless the arbitrator orders otherwise.

9.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SING FIELD AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND SING FIELD AGREE OTHERWISE IN WRITING, THE ARBITRATOR OR COURT MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CONSOLIDATED, CLASS, OR REPRESENTATIVE PROCEEDING.

9.5 Time Limitation

Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose, regardless of any statute or law to the contrary. Any claim not filed within this one-year period shall be permanently barred.
